What is a company constitution?

A company constitution is a formal document, drawn up by those applying to register a company. It sets out the rules for running the company and must be filed with the Companies Office in order for the company to be registered and incorporated with that constitution.

Why is a company constitution important?

While there is no legal requirement for a company to have a constitution, it is in the best interests of a company and those involved to have one.

A company constitution sets out the rights, powers and obligations of its board, directors and shareholders, and what conduct and behaviour is acceptable.

If a company constitution is not established, the company will be governed by the Companies Act 1993.

A constitution cannot extend the legal capacity, rights, powers and privileges that a company would otherwise have—it can only restrict them.

As long as a company constitution does not contravene the Companies Act 1993, it will be binding between the company and each shareholder according to its terms.
